泰山鉅平人也。六世祖琇
。劉宋任城令羊規之之子。魏太武帝南征，祉父降北朝。遂北徙。初襲父爵爲鉅平子，
雁門太守。拜司空令、輔國長史。坐貪瀆當死，
魏孝文帝特宥之，拜將作都將，加左軍將軍。景明四年，受命討氐人
。正始二年入蜀，出劍閣而還。累遷龍驤將軍，秦、梁二州刺史。坐掠人充奴，免官。
宣武帝朝復起爲光祿大夫。伐蜀，至涪而帝崩，班師歸朝。卒。贈安東將軍、兗州刺史。謚曰景。
祉家本南朝衣冠，恥仕北虜，恒囑其諸子南歸。第六子侃，後奔南梁。第二子深，仍仕北朝。祉在官不畏豪強，然其性酷烈，聲譽不休。人號曰「天狗」。
