光緒十六年生。父陳三立，即散原先生。祖父陳寶箴。幼承家學，經史、墳典無不遍涉，用力甚勤，

及長，
年十六，東渡日本求學。嗣後學於泰西德、
法、
瑞士
。是時放洋諸生頗有好為淫樂之事，唯寅恪律己不逾矩，為人稱焉，寧國府門前之石獅也。民國四年歐戰起返國。八年赴美哈佛大學，習梵、巴利文。
民國十四年回國，任清華大學國學院導師，時人云清華四大導師，遍授佛學、文學、隋唐史。
三十八年，未隨胡適至臺，遂留嶺南，任教中山大學。
四十五年，偶聽陳端生《再生緣》起興，撰《論〈再生緣〉》，自費刊行。唯手稿傳至中外，新亞書院學生余英時發其心曲，然使中外議論紛紜。
康生、
郭沫若論其書事，使書出版無期。
五十八年十月七日，逝於廣州，其妻逝於十一月廿一日。
